These Terms & Conditions, Refund & Return Policy provide the general framework governing use of the Bioleader® website, B2B product information, quotations, custom packaging projects, commercial orders, production, delivery, quality claims, returns, refunds and related responsibilities.


They are intended primarily for professional buyers, importers, distributors, wholesalers, foodservice operators, brands and other commercial customers purchasing or sourcing sustainable food packaging from Bioleader®.

Bioleader® is not responsible for claims resulting from unauthorized use of customer-supplied trademarks, logos, artwork, copyrighted materials or other intellectual property.


Customer files may be used by Bioleader® and relevant production partners only as reasonably necessary to quote, sample, manufacture, inspect, package or deliver the requested products.


## 9. Samples and Pre-Production Approval


Physical samples, prototypes, digital mockups, color references and pre-production samples may be used to confirm a project.


Customers are responsible for reviewing relevant details before approval, including where applicable:

- Printing content
- Lid compatibility

Reasonable differences may occur between digital representations, samples and mass production because of materials, monitor displays, printing methods, production processes and normal manufacturing tolerances.


## 10. Orders and Commercial Contracts

Depending on the transaction, internationally recognized Incoterms such as EXW, FOB, CIF, DDP or another mutually agreed term may be used.


Estimated transit times are not guaranteed arrival dates unless specifically agreed in writing.


## 14. Customs, Duties and Import Responsibilities


Customs duties, import taxes, customs-clearance obligations, local charges, licenses and destination requirements depend on the agreed Incoterm and transaction-specific arrangements.


Unless Bioleader® has expressly accepted responsibility in writing, buyers are responsible for determining and complying with destination-country import requirements.


## 15. Product Inspection and Quality Claims


Customers should inspect goods promptly after receipt and notify Bioleader® of any material shortage, incorrect goods, visible transportation damage or apparent quality concern.


When a claim is submitted, Bioleader® may request evidence including:

- Carton labels
- Batch information
- Quantity details
- Inspection reports
- Shipping documentation
- Representative samples


Claim assessment will take into account the confirmed specifications, approved samples or artwork, agreed quality requirements, order documentation, evidence supplied and circumstances of the individual transaction.


## 16. Product Compliance and Buyer Responsibilities


Food-packaging requirements vary among countries, jurisdictions, materials and intended applications.


Unless specifically agreed otherwise in writing, buyers are responsible for confirming whether the selected product, material, coating, labeling and intended application satisfy requirements applicable in the destination market.


Where specific certification, testing, migration testing, compostability documentation, food-contact documentation or other regulatory evidence is required, the requirement should be communicated and confirmed before ordering.


Certificates, test reports and compliance statements should be understood according to the product, material, test method and scope identified in the relevant document. They should not automatically be assumed to cover a different product configuration or intended use.


## 17. Intellectual Property


Unless otherwise stated, website content including text, product photographs, graphics, technical information, downloadable materials, logos, icons, page layouts and website design is owned by Bioleader®, licensed to Bioleader® or used with appropriate authorization.

## 19. Return Eligibility and Claim Period


Customers should notify Bioleader® of a proposed return, visible shortage, incorrect shipment, transportation damage or apparent quality issue **within 7 days from receipt of the goods**.


For standard, non-customized goods, a return request may be considered where the products are:


- Unused and unopened
- In substantially the same condition as delivered
- In original packaging where applicable
- Accompanied by relevant proof of purchase or order documentation


Return requests made after the applicable notification period may be refused or handled only at Bioleader®'s discretion or according to the transaction-specific agreement.


The 7-day period is not an unconditional consumer-style right to return large-volume B2B orders. Eligibility depends on product type, customization, order terms, product condition and the reason for the return.


## 20. Products Not Eligible for Return


Unless otherwise agreed in writing or required by applicable law, products may be excluded from return where they include:


- Custom-made or personalized products
- Printed or branded products produced to customer approval
- Products made to customer-specific dimensions or specifications
- Opened or used goods that cannot reasonably be resold
- Products unsuitable for return for hygiene or food-safety reasons
- Clearance or specially discounted goods sold on an agreed “as-is” basis


This exclusion does not prevent a customer from submitting a legitimate claim for verified manufacturing defects, incorrect goods or material non-conformity with the confirmed order specification.


## 21. Custom, Printed and Buyer-Approved Products


Custom-made, printed, branded, molded or otherwise buyer-specific products are generally manufactured against confirmed specifications and therefore are not normally returnable because of a change of preference, marketing decision, inventory requirements or other buyer-side commercial reasons.


Where custom goods materially fail to conform to the mutually confirmed specification or contain a verified manufacturing defect, Bioleader® will review the claim under the quality-claim procedure.


Approved artwork, specifications, samples, digital proofs and written confirmations may be used as evidence when determining whether custom goods conform to the order.


## 22. Defective, Damaged or Incorrect Goods


If goods are believed to be defective, damaged, incorrectly supplied or materially inconsistent with the confirmed order, the customer should contact Bioleader® promptly and provide sufficient evidence for assessment.


Depending on the circumstances and agreed commercial terms, a verified claim may be resolved through one or more of the following:


- Replacement products
- Reproduction of affected goods
- Replacement of missing quantities
- Partial refund
- Full refund for approved affected goods
- Commercial credit
- Another mutually agreed corrective action


The appropriate remedy will depend on the nature, severity and quantity of the verified issue and the relevant order documents.


## 23. Return Process


To request an approved return:


- Contact info@bioleaderpack.com with the order number, invoice or purchase information, affected product, quantity and reason for return.
- Provide supporting photos, videos, labels, inspection information or other evidence where relevant.
- Bioleader® will review the request and, where a physical return is required and approved, provide return instructions and the applicable return address or RMA information.
- Unless otherwise agreed, approved goods should be dispatched within **14 days after return approval**.
- Bioleader® will inspect returned goods and confirm whether the claim, refund, replacement or other remedy has been approved.


Customers should not ship goods back without prior written approval because some quality claims may be resolved through evidence, inspection results, replacements or other commercial arrangements without physically returning the entire shipment.


## 24. Refunds, Replacements and Credits


Where a refund is approved, the approved amount will normally be processed through the original payment method or another mutually agreed commercial method.


Approved refunds should normally be processed within **14 business days** after final approval, subject to bank processing time and any required transaction reconciliation.


Original freight charges, return freight, duties, taxes and related logistics costs are not automatically refundable unless the claim results from Bioleader®'s verified error or defect, or the parties otherwise agree.


Depending on the circumstances, the parties may agree to replacement goods, partial refund, account credit or another commercially reasonable solution instead of a cash refund.


## 25. Return Shipping Costs


Unless a return results from verified defective or incorrect goods supplied by Bioleader®, the customer is generally responsible for return freight, insurance, customs duties and related costs.


Where Bioleader® accepts responsibility for a verified issue, the treatment of freight and related costs will be determined according to the circumstances and applicable order terms.


## 26. International Returns


International returns may involve export procedures, customs declarations, import duties, re-import procedures, transit delays and other logistics requirements.


Returned goods must comply with applicable export and import requirements. Responsibility for additional costs depends on the reason for return, agreed Incoterm and transaction-specific arrangements.


Customers should obtain written return instructions before arranging an international return shipment.


## 27. Unsupported, Abusive or Fraudulent Claims


Bioleader® may reject return or refund requests that are unsupported by reasonable evidence, materially inconsistent with the agreed order documentation, fraudulent, abusive or submitted outside the applicable claim period without reasonable justification.


Bioleader® may also reject claims relating to damage caused after delivery by improper storage, misuse, unsuitable handling, unauthorized modification or use outside the intended product conditions.
